Terms of Service

1. Scope and Parties
1.1 Business Users Only
These Terms of Service ("Terms") govern all use of the Asky platform and related services ("Service") by business customers only. These Terms apply exclusively to businesses, organizations, agencies, and legal entities. The Service is not intended for, and these Terms do not apply to, consumers acting in a personal, non-commercial capacity. The Customer may use the Service solely within the scope of its own business operations and by its own personnel. Any further use, in particular by third parties or for the provision of services to third parties, shall not be permitted unless expressly agreed in writing with Asky.
1.2 Agreement to Terms
These Terms constitute a legally binding agreement between you (either a business entity or individual acting in a business capacity, "you," "your," or "Customer") and Asky AB ("Asky," "we," "us," or "our"), a company incorporated and registered in Stockholm, Sweden. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. The Service is provided in compliance with applicable law.
1.3 Entire Agreement
These Terms, together with any order forms, subscription agreements, and our Privacy Policy, constitute the entire agreement between you and Asky regarding the Service. We expressly object to any of your general terms and conditions. Any deviating, supplemental, or conflicting terms proposed by you will not become part of the contract unless we have expressly agreed to them in writing.
2. Service Description
2.1 Core Service
Asky is a Software as a Service ("SaaS") platform that provides AI search visibility monitoring and optimization for marketing teams. Asky is designed to help businesses monitor, analyze, and improve their visibility across AI-powered search engines and Large Language Models ("LLMs").
What Asky does:
- Monitor and track the frequency and context of brand mentions appearing in LLM-generated responses to user queries
- Analyze sentiment, competitor rankings, and citation sources in AI-generated responses
- Provide content and technical optimization recommendations to improve AI search visibility
- Generate content drafts and actionable insights based on monitoring data
What Asky does not do:
- Guarantee specific visibility outcomes or rankings in AI-generated responses
- Directly influence or manipulate AI platform algorithms or responses
- Provide legal, financial, or professional consulting advice
- Ensure the accuracy or effectiveness of any suggested prompts or recommendations

2.2 Service Modifications
Asky may make reasonable changes to the Service (e.g., to improve performance, add features, or comply with applicable law) provided such changes do not eliminate core features of the Service. We will inform you of any material changes in a timely manner. We may make changes immediately if required for security, legal compliance, or in response to third-party platform changes.
2.3 Third-Party Components
The Service relies on third-party providers and data sources. Availability and performance of those external services are outside our control. If a third-party provider ceases to provide a necessary component, changes its terms, or restricts access, we will inform you and strive to find a suitable alternative. Asky expressly reserves the right, at its reasonable discretion, to modify or replace the AI platforms and other third-party services used in connection with the provision of the Service. We are not liable for service interruptions caused by third-party failures.
2.4 No Guaranteed Results
Unless explicitly agreed in writing, Asky does not guarantee specific outputs or results from using the Service. The quality and accuracy of outputs depend on the quality of your input (prompts, URLs, brand information, etc.) and factors outside our control, including third-party AI platform algorithms, your website content, and brand reputation. The Service is a monitoring, analytics, and insights platform, not a performance marketing or results-based service.
3. Service Availability and Maintenance
Asky aims to maintain reasonable availability of the Service but does not guarantee uninterrupted or error-free operation. Periods of scheduled maintenance, force majeure, and interruptions caused by the Customer or third parties for whom Asky is not responsible shall not be deemed downtime.
Asky may regularly maintain the Service and will inform you in due time of any usage restrictions associated therewith. We will use commercially reasonable efforts to promptly address any material service issues.
4. Use Requirements
4.1 Responsibilities
You agree to use the Service only for legitimate business purposes and in compliance with all applicable laws. You must keep your login credentials confidential and prevent unauthorized access to the Service. You are responsible for all content and data you provide as input, including ensuring that such content does not violate any applicable law, third-party rights, or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide input to the Service.
4.2 Prohibited Uses
You shall not reverse-engineer, decompile, or otherwise misuse the Service, or use the Service to develop or offer competing products. In the event of a breach of these obligations, Asky is entitled to temporarily suspend or restrict your access to the Service, after reasonable notice if feasible, and/or terminate the contract for cause pursuant to Section 13.
5. Intellectual Property and Data
5.1 Service IP
All intellectual property rights in the Service (including the software, algorithms, models, and documentation) are and remain the exclusive property of Asky. Asky grants the Customer a limited, non-exclusive, non-transferable right to use the Service during the term of the contract for the Customer's internal business operations, in accordance with these Terms.
5.2 Customer Data
You retain all rights to the data, content, and materials that you upload or provide to the Service ("Customer Data"). By providing Customer Data, you grant Asky a license to process and use that data only to the extent necessary to perform the Service and fulfill our contractual obligations. Asky will handle Customer Data in compliance with applicable data protection laws and our Privacy Policy. We will not use Customer Data to train, fine-tune, or improve machine learning or artificial intelligence models. We will not use or share your Customer Data for any purposes beyond delivering the Service without your consent. Upon termination of the contract, and upon your request, we will delete or return your Customer Data, except to the extent we are legally required to retain it.
5.3 AI-Generated Content
The Service uses third-party AI technologies to generate monitoring results, analytics, insights, and content drafts. AI-generated outputs may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving any AI-generated content before relying on it or publishing it. No AI-generated content is published or acted upon automatically without your explicit initiation and approval.
5.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, implement, and commercialize such Feedback without compensation or attribution.
6. Fees, Payment, and Set-Off
6.1 Fees
The Customer shall pay the fees for the Service as agreed in the order or subscription form (e.g., per the pricing plans on our website). All prices are exclusive of applicable VAT (sales tax), which will be added as required by law.
6.2 Invoicing, Payment, and Suspension
Asky will invoice fees per the agreed billing cycle (monthly or annually in advance). Payments are due within 14 days of the invoice date, unless a different period is agreed in writing. If payment is not received on time, late payment interest of 9 percentage points above the Swedish Riksbank reference rate per annum will accrue (in accordance with Swedish law for B2B transactions). Asky reserves the right, after giving a reminder and reasonable grace period, to suspend Service access until overdue amounts are paid.
6.3 Set-Off
You may only set off counterclaims against our payment claims if those counterclaims are undisputed by Asky or finally adjudicated by a court. You are not entitled to exercise any right of retention except to the extent that your claim arises from the same contractual relationship and is undisputed or legally established.
7. Free Trial
7.1 Trial Access
From time to time, Asky may offer access to the Service on a trial basis, free of charge, for a limited period as determined by Asky ("Trial Period").
7.2 Scope
During the Trial Period, the Service is provided solely for the purpose of evaluating the Service and may be subject to limitations on features, functionality, or usage as determined by Asky at its discretion.
7.3 Termination
Asky reserves the right to suspend or terminate the Trial Period at any time, with or without notice. At the end of the Trial Period, continued use of the Service will be subject to the applicable subscription plan and fees.
8. Data Protection
8.1 General
We process personal data in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR). For your account data, we are the data controller. For data you process about third parties through the Service (e.g., competitor tracking), you are the data controller and we are the data processor.
8.2 Data Processing Agreement
A Data Processing Agreement (DPA) is available upon request for processing activities where you are the data controller and we are the data processor. Contact hello@getasky.com to request a DPA.
8.3 Data Security
We implement industry-standard technical and organizational measures to protect your data, including encryption in transit and at rest, access controls, and database-level security policies. No system is 100% secure, and you acknowledge that use of the Service involves inherent security risks.
8.4 Data Retention
We retain your Customer Data for as long as your account is active. Upon termination, we retain your data for 30 days to allow data export, after which it is permanently deleted except where retention is required by law (e.g., billing records for 7 years under the Swedish Bookkeeping Act). Backup copies may persist for up to 90 days.
8.5 Privacy Policy

9. Use of AI Technologies
The Service uses third-party AI and machine learning technologies to provide its core features, including AI search monitoring, visibility analytics, content generation, and insight generation. We do not use your Customer Data to train, fine-tune, or improve AI models. Customer Data may be transmitted to third-party AI providers solely to generate responses, analyses, and content as part of delivering the Service.
AI-generated outputs — including monitoring results, analytics, insights, and content drafts — may contain errors, inaccuracies, or omissions, and AI platforms may produce different results for the same query at different times. All AI-generated content is presented to you for review before any action is taken. You are solely responsible for verifying the accuracy and appropriateness of any AI-generated content before relying on it or publishing it.
10. Data Migration and EU Data Act
In accordance with Regulation (EU) 2023/2854 (the "Data Act"), you may switch to another data processing service or to an on-premise solution by giving no more than two (2) months' prior written notice. Asky shall provide you, without undue delay and in a commonly used, machine-readable format, with access to all exportable data (including relevant metadata) and shall provide reasonable assistance to enable switching. Asky may charge reasonable, cost-based fees for such assistance, to the extent permitted under the Data Act. Any contractual terms inconsistent with these rights shall be deemed replaced by the mandatory provisions of the Data Act.
11. Warranty
11.1 Service Provided "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or uninterrupted access.
11.2 Third-Party Disclaimer
We have no control over third-party AI platforms or other external services and disclaim all warranties related to their availability, performance, accuracy, or continued operation. Changes to third-party platforms, including modifications to APIs, terms, algorithms, or discontinuation of services, are outside our control and we are not liable for any resulting impact on the Service.
11.3 No Professional Advice
The Service provides informational insights and analytics only and does not constitute legal, marketing, financial, or other professional advice.
12. Limitation of Liability
12.1 Unlimited Liability
Asky shall be liable without limitation in cases of intentional misconduct or gross negligence by Asky, its legal representatives, or vicarious agents. Asky also bears full liability for any damages resulting from injury to life, body, or health caused by any negligence on our part, and for any liability that cannot be excluded or limited under mandatory Swedish law.
12.2 Liability for Ordinary Negligence (Material Obligations)
In cases of ordinary (slight) negligence, Asky shall only be liable for the breach of material contractual obligations (Kardinalpflichten) — those duties which are fundamental to the contract and on whose fulfillment the Customer can rely. In such cases, liability shall be limited to the damage foreseeable at the time of conclusion of the contract and typical for this type of contract.
12.3 Exclusion of Other Slight Negligence
Asky shall not be liable for breaches of duty caused by slight negligence if those duties are not material contractual obligations.
12.4 Maximum Liability Cap
To the extent Asky's liability is not unlimited under Section 12.1, the total aggregate liability for all claims arising from or related to the Service shall not exceed the amount the Customer paid to Asky in the 12 months preceding the claim.
12.5 Personnel Coverage
The limitations and exclusions of liability in this Section 12 also apply to the personal liability of Asky's officers, directors, employees, agents, contractors, and subprocessors.
12.6 Customer Indemnification
The Customer shall indemnify and hold Asky harmless from any third-party claims arising out of the Customer's unlawful use of the Service or breach of these Terms, to the extent the Customer is responsible for such breach.
13. Term and Termination
13.1 Contract Term
The contract begins when you accept these Terms and register an account or otherwise enter into an agreement for the Service. The term of the contract is as specified in your order (e.g., a monthly or 12-month subscription) or, if no specific term is agreed, it is for an indefinite period.
13.2 Ordinary Termination
Either party may terminate a monthly subscription at any time, effective at the end of the current billing cycle, or a fixed-term subscription by giving thirty (30) days' notice, effective at the end of the current term. In accordance with the EU Data Act, the maximum contractual notice period for termination shall not exceed two (2) months. Absent timely notice of non-renewal, the contract may renew as per the agreed terms. Notice of termination must be given at least in text form (e.g., by email).
13.3 Termination for Cause
Either party may terminate the contract with immediate effect for cause if the other party materially breaches these Terms and fails to cure within 14 days of written notice. Cause for Asky includes, for example, serious misuse of the Service, persistent non-payment, or insolvency of the Customer. In case of termination for cause by Asky, we may immediately suspend your access to the Service.
13.4 Effects of Termination
Upon termination or expiration, Asky will deactivate the Customer's account and cease providing the Service. You may exercise your data export and switching rights as described in Section 10 within 30 days of termination. After this period, Customer Data is deleted in accordance with Section 8.4. Any fees paid in advance for periods after termination will be refunded pro rata only if the termination was due to a material breach by Asky; otherwise, there is no automatic refund for early termination of a fixed term. Clauses that by their nature are meant to continue (such as liability, indemnification, intellectual property, and governing law) shall remain in effect despite termination.
14. Reference Use
Asky may publicly refer to the Customer as a client for marketing and promotional purposes, including use of the Customer's name, logo, and general branding in reference lists, on its website, in presentations, and in other marketing materials, provided this is done in a factual and appropriate manner. This right shall survive the termination of the contract unless the Customer objects to such use in writing for legitimate reasons. Asky will not disclose any confidential information of the Customer in this context.
15. Governing Law and Jurisdiction
These Terms and any disputes arising out of or in connection with them shall be governed by the laws of Sweden, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Stockholm, Sweden.
16. Final Provisions
16.1 Amendments
Asky reserves the right to modify these Terms. For existing contracts, Asky will notify the Customer in writing (e.g., email) of proposed changes at least 30 days in advance. The changes shall be deemed approved if the Customer does not object in writing within the notice period. Asky will specifically inform the Customer of this consequence in the change notice. If the Customer objects to the changes, either party may terminate the contract before the changes take effect.
16.2 Severability
Should any provision of these Terms be or become invalid or unenforceable, the remaining provisions shall remain in effect. In place of the invalid provision, the parties agree to adopt a valid provision that most closely reflects the original economic intent of the invalid clause.
16.3 Force Majeure
Neither party is liable for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, war, government actions, labor disputes, infrastructure failures, third-party service outages, pandemics, or cyberattacks not caused by the party's negligence.
16.4 Language
This English version of the Terms is the binding version. Any translation, if provided, is for convenience only; in case of inconsistencies, the English text prevails.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
